Terms and Conditions

1. About these Terms
These Terms and Conditions apply to your access to and use of the KeyWise website, application, reports, digital tools and related services provided by KEY PROPERTY INSIGHTS LTD.
In these Terms, "KeyWise", "we", "us" and "our" mean:

By accessing or using KeyWise, you agree to these Terms. If you do not agree to these Terms, you must not use KeyWise.
You should read these Terms together with our Privacy Policy and Cookie Policy.
2. Eligibility
You may only use KeyWise if you are legally capable of entering into a binding agreement and your use of the service is lawful in your jurisdiction.
If you use KeyWise on behalf of a business, organisation or another person, you confirm that you have authority to bind that person or organisation to these Terms.
3. What KeyWise does
KeyWise provides digital tools to help users record, organise and review property-related information before making their own decisions.
KeyWise may allow users to:
- -save property links, addresses and property information
- -record and organise viewing notes
- -upload photographs and optional voice notes
- -complete property checklists
- -receive AI-assisted property observations, risk flags and data summaries
- -view indicative repair cost ranges
- -view condition-related observations
- -view property, location and market data
- -generate buyer-facing reports and other decision-support outputs
KeyWise outputs are generated from user-submitted information, publicly available information, licensed data sources, third-party data sources and AI-assisted processing.
KeyWise provides information and decision-support only. KeyWise does not make decisions for you and does not replace independent professional advice.
4. Observations, not professional advice
KeyWise is a decision-support product only.
Unless we expressly agree otherwise in writing, KeyWise does not provide:
- -legal advice
- -conveyancing advice
- -surveying advice
- -RICS valuation advice
- -mortgage advice
- -financial advice
- -investment advice
- -tax advice
- -insurance advice
- -estate agency advice
- -building safety advice
- -structural engineering advice
- -professional advice tailored to your specific circumstances
All reports, outputs, summaries, risk flags, cost ranges, price-related outputs, property observations and other information provided through KeyWise are data observations only.
They are not professional recommendations, professional opinions, formal valuations, surveys, guarantees or instructions to act.
You remain solely responsible for deciding whether to view, offer on, negotiate for, purchase, rent, sell, withdraw from, proceed with or otherwise transact in relation to any property.
You should obtain independent professional advice from appropriately qualified professionals where appropriate, including from solicitors, conveyancers, RICS surveyors, mortgage brokers, lenders, insurers, structural engineers, tax advisers or other relevant professionals.
5. Important valuation and price estimate limitation
Any price estimate, condition-adjusted price estimate, repair-adjusted figure, comparable sales range, suggested offer range, market range, indicative valuation range or similar output generated by KeyWise is an automated or data-assisted output derived from available information.
It does not constitute:
- -a RICS valuation
- -a mortgage valuation
- -a lender valuation
- -a surveyor's opinion
- -an estate agent appraisal
- -a legal opinion
- -a financial recommendation
- -a guarantee of market value
- -a prediction of what a lender, buyer, seller, surveyor or estate agent will conclude
You must not submit or rely on any KeyWise output for mortgage, lending, conveyancing, legal, insurance, tax, investment or regulatory purposes.
KeyWise accepts no responsibility for any difference between a KeyWise-generated output and any valuation, survey, offer, sale price, lender decision, estate agent opinion or market outcome.
6. Presentation of KeyWise outputs
KeyWise will present its outputs, reports and data summaries as observations derived from user-submitted information, publicly available information, licensed data sources, third-party data sources and automated processing.
No KeyWise output should be understood as professional advice, a professional recommendation or a substitute for your own judgement.
By accessing any paid KeyWise feature, you confirm that you understand that:
- -KeyWise provides decision-support information only
- -KeyWise is not acting as your adviser, surveyor, solicitor, valuer, estate agent, mortgage broker or negotiator
- -you are responsible for independently checking any information before relying on it
- -any decision relating to a property transaction is yours alone
7. User accounts
You may need to create an account to use some features of KeyWise.
You are responsible for:
- -providing accurate account information
- -keeping your login credentials secure
- -all activity that takes place under your account
- -promptly notifying us if you believe your account has been accessed without authorisation
We may suspend or restrict access to your account if we reasonably believe there has been unauthorised access, misuse, a breach of these Terms, security risk or unlawful activity.
8. User content
"User Content" means any information, notes, photographs, audio, text, property details, comments, documents, answers, checklists or other material you upload, submit, record or generate through KeyWise.
You retain ownership of your User Content.
You grant KeyWise a non-exclusive, worldwide, royalty-free licence to host, store, copy, process, analyse, transmit, display and use your User Content as reasonably necessary to:
- -operate KeyWise
- -provide the service to you
- -generate reports and outputs you request
- -process property information
- -maintain security and service integrity
- -provide support
- -troubleshoot issues
- -improve the service
- -comply with legal obligations
- -establish, exercise or defend legal claims
You confirm that:
- -you have the right to submit the User Content
- -your User Content does not infringe the rights of others
- -your User Content is not unlawful, defamatory, misleading or harmful
- -you will not deliberately upload unrelated private or sensitive information about other people
- -you will not upload malware, harmful code, spam or material intended to disrupt KeyWise
9. Property viewing content and third-party privacy
KeyWise may be used in residential property settings. You agree to use KeyWise responsibly and lawfully.
You must not intentionally use KeyWise to:
- -identify or profile third parties unrelated to your property assessment
- -capture personal documents, financial records, identity documents or confidential information belonging to others
- -harass, surveil, monitor or invade the privacy of others
- -gather evidence for unlawful or improper purposes
- -capture children or vulnerable people where avoidable
- -record audio or images where doing so would be unlawful
Where possible, you should avoid capturing:
- -people
- -children
- -personal documents
- -financial information
- -medical information
- -computer screens
- -private correspondence
- -security codes
- -unrelated private possessions
If you upload content that includes information about third parties, you are responsible for ensuring that your collection and upload of that content is lawful.
10. AI-assisted outputs
KeyWise may use AI-assisted tools and automated processing to analyse information and generate outputs.
You acknowledge and agree that:
- -AI-generated outputs may contain errors, omissions or outdated information
- -outputs depend heavily on the quality, accuracy and completeness of the information submitted
- -outputs may not identify every defect, risk, issue or relevant consideration
- -outputs may be based on incomplete, inaccurate or unavailable third-party data
- -outputs may differ from professional advice, lender valuations, surveyor findings or market outcomes
- -you should independently verify important information before acting on it
KeyWise does not guarantee that any AI-generated or automated output is accurate, complete, reliable, current or suitable for your particular circumstances.
11. AI data review sessions and offer considerations
KeyWise may offer enhanced AI-assisted data review features, including property data review sessions, offer consideration tools or similar paid features.
These features may help you review information submitted during or after a property viewing and may generate observations relating to property condition, risk factors, comparable data, potential repair cost ranges and possible offer considerations.
By purchasing or accessing an AI data review session or similar feature, you confirm that you understand and agree that:
- -you are purchasing a data review and decision-support output only
- -KeyWise is not acting as your solicitor, surveyor, valuer, mortgage broker, estate agent, financial adviser or agent in any capacity
- -no output constitutes legal, financial, surveying, valuation, mortgage, investment, negotiation or professional advice
- -any decision to make, revise, withdraw, increase, reduce or proceed with an offer is your decision alone
- -KeyWise does not guarantee that any seller, agent, lender, surveyor or third party will accept, agree with or act on any information generated by KeyWise
- -KeyWise is not responsible for the outcome of any offer, negotiation or property transaction
- -you should seek independent professional advice where appropriate before committing to any property transaction
We may require you to actively confirm your understanding of these limitations before purchasing or accessing certain paid features.
12. Business customers and data processing
Where KeyWise is accessed by estate agents, lettings agents, property professionals, employers or other business customers on a SaaS, enterprise, partner or business basis, additional commercial terms may apply.
Where KeyWise processes personal data on behalf of a business customer, KeyWise may act as a data processor and the business customer may act as the data controller.
In such cases, the business customer is responsible for its own compliance with applicable data protection law, including ensuring that it has a lawful basis for submitting personal data to KeyWise.
Where required, KeyWise will provide a Data Processing Agreement compliant with Article 28 UK GDPR before live processing begins.

13. Fees, payment and paid features
Where KeyWise offers paid products or features, the relevant price will be shown before purchase.
Unless otherwise stated:
- -fees are payable in advance
- -prices may include or exclude applicable taxes as stated at the point of purchase
- -access to paid features may be suspended or withheld if payment is not received
- -we may change our prices from time to time, but price changes will not affect purchases already completed
Different products, reports, subscriptions, partner offers or promotional discounts may be subject to additional terms shown at the point of purchase.
14. Consumer cancellation rights and digital content
If you are a consumer purchasing KeyWise digital content online, you may have a statutory right to cancel your purchase within 14 days.
However, KeyWise reports, AI-generated outputs, data review sessions and similar paid features involve digital content that may be generated or supplied shortly after purchase.
By purchasing a KeyWise report, output, session or other digital product, you expressly request that we begin supplying the digital content immediately.
You acknowledge that once we begin generating, processing or delivering the relevant digital content, you may lose your statutory right to cancel that purchase.
If generation or delivery has not yet started, you may request cancellation within 14 days by contacting hello@getkeywise.com.
This does not affect your statutory rights where digital content is faulty, not as described or not supplied with reasonable care and skill.
15. Refunds and digital content quality
Under UK consumer law, digital content supplied by KeyWise must be as described, of satisfactory quality and fit for its stated purpose.
If you believe a paid KeyWise output has not been supplied correctly or does not meet applicable consumer standards, contact us at hello@getkeywise.com with details of the issue.
Where legally required, we may offer a repair, replacement, price reduction or refund.
We will not usually provide refunds where:
- -the report or output has already been generated and delivered
- -you have changed your mind after delivery
- -you disagree with an observation, estimate or output but the service was supplied as described
- -the issue arises from inaccurate, incomplete or misleading information submitted by you
- -the output differs from a later professional opinion, lender valuation, surveyor finding, estate agent view, seller response or market outcome
Nothing in these Terms affects your statutory consumer rights.
16. Acceptable use
You must not:
- -use KeyWise in breach of any law or regulation
- -interfere with the operation, security or availability of KeyWise
- -attempt to gain unauthorised access to any account, system or data
- -reverse engineer, scrape, copy, resell or commercially exploit KeyWise except as permitted by law
- -use KeyWise to develop or train a competing product using our proprietary materials or outputs
- -upload unlawful, harmful, misleading, defamatory or infringing content
- -upload malware, viruses, harmful code or spam
- -use automated means to access KeyWise in a way that imposes unreasonable load or bypasses access controls
- -misuse KeyWise to profile, monitor, harass or surveil individuals
- -submit false, misleading or manipulated property information
We may suspend, restrict or terminate access if we reasonably believe you have breached this section.
17. Intellectual property
All intellectual property rights in KeyWise, including our software, designs, branding, reports, templates, content, documentation, databases, workflows, prompts, models, systems and underlying technology, belong to us or our licensors.
You may use KeyWise only for your personal use or internal business use in accordance with these Terms.
You must not copy, modify, distribute, sell, resell, publish, reproduce, exploit or create derivative works from KeyWise except where we expressly allow this in writing.
You retain ownership of your User Content, subject to the licence granted to us under these Terms.
18. Third-party services and data sources
KeyWise may rely on third-party services, infrastructure, software, APIs, AI providers, hosting providers, analytics providers, email providers, payment processors and public or licensed datasets.
KeyWise may also use property, locality, market, environmental, transport, crime, title, planning, school, broadband, mobile coverage and other third-party data sources.
We do not guarantee that third-party data is accurate, complete, current or available.
We are not responsible for:
- -the availability or accuracy of third-party websites, services or data sources
- -interruption, delay or failure caused by third-party providers
- -errors or omissions in public or licensed datasets
- -decisions you make based on third-party or AI-assisted information
19. Availability and changes to the service
We do not guarantee that KeyWise will always be available, uninterrupted, secure, accurate or error-free.
We may update, improve, suspend, restrict, withdraw or discontinue all or part of KeyWise at any time.
We may suspend access for maintenance, security, legal, operational or technical reasons.
We are not liable for any loss arising from unavailability, interruption, delay, data loss or service changes, except where liability cannot lawfully be excluded.
20. Account deletion and data on closure
You may stop using KeyWise at any time.
You may request deletion of your account through your account settings, where available, or by contacting hello@getkeywise.com.
On account deletion:
- -your personal profile and login data will be deleted or deactivated within a reasonable period
- -saved reports, viewing records and account content may be deleted and may not be recoverable
- -you should download any reports you wish to keep before requesting deletion
- -some data may be retained where required for legal, accounting, tax, security, fraud prevention, complaints or dispute-resolution purposes
- -anonymised or aggregated data may be retained for analytics, research and service improvement where it no longer identifies you

21. Termination
We may suspend or terminate your access to KeyWise if:
- -you breach these Terms
- -we reasonably believe your use creates legal, security, privacy, reputational or operational risk
- -your account is inactive for a prolonged period
- -payment is not received for paid features
- -we discontinue all or part of the service
- -we are required to do so by law or by a third-party provider
Termination does not affect any rights or obligations that have already arisen.
Sections relating to intellectual property, liability, disclaimers, user responsibilities, privacy, governing law and dispute resolution will continue to apply after termination where relevant.
22. Liability
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or any other liability that cannot be excluded under applicable law.
Subject to this, KeyWise is provided on an "as is" and "as available" basis.
To the fullest extent permitted by law, we exclude all implied warranties, representations and conditions relating to KeyWise, including any implied warranties of accuracy, completeness, fitness for purpose, satisfactory quality, availability or non-infringement.
KeyWise will not be liable for:
- -any loss arising from a property transaction
- -any loss arising from an offer made, revised, rejected, withdrawn, accepted or not made
- -any loss arising from a property transaction collapsing, completing or failing to complete
- -any survey, valuation, legal, conveyancing, mortgage, broker, estate agency, insurance or professional fees
- -any difference between a KeyWise output and a later valuation, survey, lender decision, estate agent opinion, buyer offer, seller position or sale price
- -any defect, condition, risk, title issue, legal issue, environmental issue or other matter not identified or incorrectly assessed by KeyWise
- -any reliance on KeyWise as a substitute for independent professional advice
- -any loss of profit, revenue, business, goodwill, opportunity, anticipated savings, data or reputation
- -any indirect, consequential, special or economic loss
You acknowledge that KeyWise outputs are data observations and decision-support information only. You have not engaged KeyWise as a professional adviser, valuer, surveyor, solicitor, mortgage broker, estate agent or negotiator.
Any decision relating to a property transaction is made solely by you.
Subject to the exclusions above and to the fullest extent permitted by law, our total aggregate liability arising out of or in connection with KeyWise, the service or these Terms will be limited to the greater of:
- -the amount you paid to KeyWise for the relevant service in the 12 months before the claim arose; or
- -£500.
If you have not paid KeyWise anything, our total aggregate liability will be limited to £100.
23. Consumer fairness
If you are a consumer, nothing in these Terms affects your statutory rights.
If any exclusion or limitation of liability in these Terms is found to be unlawful, unfair or unenforceable in relation to a consumer, that exclusion or limitation will apply only to the maximum extent permitted by law.
24. Indemnity
If you are a business user, you agree to indemnify and hold harmless KeyWise, its officers, directors, employees, contractors and affiliates from and against claims, losses, liabilities, damages, costs and expenses arising from:
- -your misuse of KeyWise
- -your breach of these Terms
- -your unlawful processing or submission of personal data
- -your infringement of another person's rights
- -your use of KeyWise on behalf of clients, customers, tenants, buyers, sellers or other third parties
If you are a consumer, you are responsible for losses we suffer that arise from your unlawful use of KeyWise, deliberate misuse of the service, infringement of third-party rights, or material breach of these Terms.
25. Privacy
Your use of KeyWise is also subject to our Privacy Policy and Cookie Policy.
Our Privacy Policy explains how we collect, use, store and share personal data.
Our Cookie Policy explains how we use cookies and similar technologies.
26. Force majeure
We will not be liable for any failure or delay in performing our obligations where that failure or delay is caused by circumstances beyond our reasonable control.
This may include internet outages, hosting failures, third-party service failures, cyber incidents, power failures, strikes, labour disputes, natural disasters, pandemics, government action, changes in law, war, terrorism or other events outside our reasonable control.
27. Changes to these Terms
We may update these Terms from time to time.
Where changes are material, we may notify you by email, in-app notice, website notice or another reasonable method.
The updated Terms will apply from the date stated in the updated version.
If you continue using KeyWise after updated Terms take effect, you will be deemed to have accepted the updated Terms.
If you do not agree to the updated Terms, you should stop using KeyWise.
28. Entire agreement
These Terms, together with our Privacy Policy, Cookie Policy and any additional terms shown at the point of purchase, form the entire agreement between you and KeyWise in relation to your use of the service.
They supersede any previous discussions, representations, statements, understandings or agreements relating to KeyWise, whether written or oral.
29. Severability
If any provision of these Terms is found by a court or competent authority to be invalid, unlawful or unenforceable, that provision will be treated as deleted or limited to the minimum extent necessary.
The remaining provisions will continue in full force and effect.
30. No waiver
If we do not enforce any right or provision of these Terms, this does not mean we have waived that right or provision.
Any waiver must be given in writing to be effective.
31. Assignment
You may not transfer or assign your rights or obligations under these Terms without our prior written consent.
We may transfer or assign our rights and obligations under these Terms as part of a business sale, restructuring, merger, acquisition, investment, transfer of assets or similar transaction, provided this does not materially reduce your rights under these Terms.
32. Governing law and jurisdiction
These Terms are governed by the laws of England and Wales.
The courts of England and Wales will have exclusive jurisdiction over any dispute or claim arising out of or in connection with these Terms or your use of KeyWise, except where mandatory consumer law gives you the right to bring proceedings in another jurisdiction.
